Registration

What type of company will I receive?
You will receive a Bulgarian Limited Liability Company. By default, it will be of the newly introduced (2025) Variable Capital type. This form offers much more flexibility for the company owner compared to the legacy legal forms.

If, for any reason, you prefer a company with the older legal form (EOOD or OOD), an additional fee of 50 EUR applies.

What documents do I need to provide for the company registration?
For shareholders who are private individuals, we only require a passport copy and a proof of address.

For corporate shareholders, we require a copy of the Articles of Association of the company and a Certificate of Good Standing.

Additional documents may be required upon request by the authorities or banks.

Do I need to pay any capital to form the company?
The legally required company capital is less than 1 EUR. If you would like the company to have a higher capital, please let us know during the incorporation process.
Do you provide a legal address in Bulgaria, which is required for company incorporation?
Yes, a registered office address in Sofia is included free of charge as part of this promotional offer.

General Terms and Conditions

1. Scope of Services

These General Terms and Conditions (“Terms”) govern the provision (“promotional offer”) of company formation services in Bulgaria by Citizenship and Investment LTD,, company incorporated in Bulgaria under registration number (EIK) 204770833, with registered address at “James Bourchier” 103, 5th fl., office 9, 1407 Sofia, Bulgaria . The services may include, but are not limited to:

  • Preparation and filing of incorporation documents with the Bulgarian Commercial Register;
  • Provision of registered office address for the registration purposes;
  • Legal and tax consultation related to company formation;
  • Additional administrative and support services.

2. Eligibility

The Client must be a legally capable individual or a duly represented legal entity in order to request the services. The Client may not be an entity from an offshore jurisdiction that uses aggressive tax-planning schemes.

3. Validity of the promotional offer

The promotional offer is valid until 31.01.2026 and can be cancelled at any time, without notice.

4. Service Fees

4.1. Service fees are provided in advance to the Client as per the conditions of the promotional offer.
4.2. All fees are payable in advance.
4.3. Fees are non-refundable, except in cases of proven error on the part of the Service Provider.

5. Client Obligations

The Client shall:

  • Provide all necessary documents, information, and cooperation in a timely manner;
  • Ensure that all submitted documents and information are accurate and lawful;
  • Bear responsibility for any delays caused by incomplete, incorrect, or late submission of documents.

6. Timeframe

While the Service Provider will use best efforts to complete the company formation within the estimated timeframe, delays caused by public authorities (e.g., the Commercial Register, banks, notaries) are outside of the Service Provider’s control.

7. Limitation of Liability

The Service Provider shall not be liable for:

  1. Decisions of Bulgarian state authorities;
  2. Non-acceptance of the Client’s application by Bulgarian banks;
  3. Rejection of documents due to reasons beyond the Service Provider’s control;
  4. Consequential or indirect damages arising from delays or rejection of registration.

No refund will be due if any of the above four events occurs.

In all other cases, the Service Provider’s liability shall not exceed the amount of fees paid by the Client.

8. No refund

All fees paid by the Client to the Service Provider are final and non-refundable. No refund shall be due under any circumstances, including but not limited to delays, rejection of applications or documents, changes in legislation, or any other events beyond the Service Provider’s control.

9. Confidentiality

All information and documents provided by the Client will be treated as confidential and will not be disclosed to third parties, except as required by law or necessary for the completion of the service.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Bulgaria. Any disputes shall be subject to the exclusive jurisdiction of the competent Bulgarian courts.

11. Amendments

The Service Provider reserves the right to amend these Terms at any time. The applicable version is the one published on the Service Provider’s website at the time of engagement.
